Terms and Conditions
By participating in The Golden Wheel network's advertising programs, including the "Bid For Position Ranking System", you are entering into a legally binding and enforceable agreement with The Golden Wheel network. You warrant and guarantee that you are authorized to enter into this agreement and you understand that any website(s) you have listed with The Golden Wheel network may be viewed by anyone who may access your site(s) through The Golden Wheel network.
For the purposes of this Agreement, the The Golden Wheel network Bid For Position Ranking System is a system whereby Participants wishing to advertise their web site, services or products, bid for the ranking of a listing which appears in the search results generated by The Golden Wheel network in response to a search term closely matching the subject of the search listing. The amount of a Participant's bid determines ranking of such Participant's listing in a search results list.
Payment of accounts
The Participant agrees to pay The Golden Wheel network based on the number of click throughs by a user on a search listing multiplied by the amount which has been bid to pay for each click through on a search listing. The amount of click throughs are measured by tracking software accessed by The Golden Wheel network and you understand and agree that such data generated from this software shall be the only and definitive measure of the amount of click throughs. There is no initial deposit to be paid to The Golden Wheel network to start services to the Participant. We give a startup deposit of $20 to every Participant, which is non-refundable. Participant acknowledges that its payment obligation hereunder is based solely on the number of click throughs and not on Participant's ability to convert click throughs to sales or any other measure. In the event that Participant has elected to pay The Golden Wheel network by credit card, the Participant represents that all payment information provided to The Golden Wheel network will be accurate and complete. In the event that The Golden Wheel network is unable to charge a Participant's credit card The Golden Wheel network may, in its sole discretion, terminate the Participant's participation in the Bid For Position Ranking System.
Your representations and warranties
You represent that you are the owner or authorised representative of the website(s) for which listings are requested and that such site(s) are not involved in any illegal activity, and does not contain any libelous matter. You will not hold The Golden Wheel network liable or responsible for the activities of visitors who come to your site(s) through click throughs provided from The Golden Wheel network. You further represent that your site does not violate or infringe upon the rights of any third party, including intellectual property rights. The Golden Wheel network reserves the right to reject or remove any website if it is deemed unsuitable for the The Golden Wheel network Bid For Position Ranking System for any other reason what-so-ever.
Your indemnification obligations
Participant agrees to indemnify and hold The Golden Wheel network, respective employees, consultants and other agents harmless from and against any losses, costs, damages or expense (including reasonable legal fees) resulting from claims or actions arising out of or in connection with Participant's participation in the The Golden Wheel network Bid For Position Ranking System, Participant's website content or Participant's breach of any agreement, representation or warranty hereunder, including, without limitation, third party claims for infringement of copyright or other intellectual property rights and violation of rights of privacy and publicity. You agree that you are solely responsible for defending any claim, and for payment of damages or losses resulting from the foregoing to both a third party and to The Golden Wheel network.
Limitation of liability and warranty disclaimer
The The Golden Wheel network web site, including the The Golden Wheel network search engine and bid for position ranking system, exists on an "as is" basis.
The Golden Wheel network makes no warranty of any king, whether expressed or implied, including any implied warranty of fitness of any service provided by The Golden Wheel network for a particular purpose including, without limiation, the number of clicks through per search service provided by The Golden Wheel network for a particular purpose including, without limiation, the number of clicks through per search listing which will be deliverd and the succes of your search listing. The Golden Wheel network, its emplyes, consultants and other agents shall not be liable for any loss, costs, damages or expenses (including reasonable legal fees) incurred by participant in connection with the bid for position ranking system or incurred by participant as a result of any services provided by The Golden Wheel network, without limitation, the contents of any web web sites or pages, any technical problems, loss of data, delay in operation, computer viruses, communication failure, destruction or unauthoriez use or access to any web sites or records, or other injury damage or disruption to participant, notwithstanding the foregoing, should The Golden Wheel network be liable for any reason, participant agrees that in no event shall The Golden Wheel network's liability ever exceed the total amount paid to The Golden Wheel network by participant in the three months prior to any alleged loss. In no event shall The Golden Wheel network be liable for any indirect, incidental, consequential, special or exemplary damages arising out or related to this agreement even if such damages are foreseeable and whether or not The Golden Wheel network has been advised of the possibility thereof.
The Golden Wheel network will not be liable for, or considered to be in breach of or in default, on account of any delay or failure to perform as anticipated by the parties, a delay in chaning a bid by you,
or if its site become inoperable or incapable or performing as intended. The Golden Wheel network makes no representations that the operation of its site will be uninterrupted or problem free, and will not be liable for the consequences of any interruptions or errors. You further agree that yo will not hold The Golden Wheel network responsible for any acts, error or omissions of any third party in connection with the The Golden Wheel network bid for position ranking system, The Golden Wheel network web site, and/or sites linked to through the The Golden Wheel network web site.
Search engine listings
The Golden Wheel network does not guarantee that your search listings will be available or displayed, nor your rankings maintained and you understand that The Golden Wheel network reserves the right to not place your search listings within any search results list generated in connection with The Golden Wheel network. The format and style of your search listing may vary and The Golden Wheel network makes no representations as to the format and style of your search listing. In all cases information for the search listing must be submitted in the form requested by The Golden Wheel network.
Relevancy
You must only submit search terms, titles and descriptions to The Golden Wheel network's Bid For Position Ranking System that are relevant to your website(s). If any information provided on your website(s) changes, you must update your search terms and descriptions to be both current and accurate. All search terms and descriptions submitted are subject to relevancy review by the The Golden Wheel network review staff, and are subject to removal or rejection. No refunds will be issued for charges incurred to any account as a result of submitting irrelevant words to The Golden Wheel network's Bid For Position Ranking System. Excessive violations of relevancy regulations may result in termination of your account without refund for any charges already incurred.
Right to reject
The Golden Wheel network reserves the right to reject, cancel or remove any link, search terms, descriptions and bids at any time for any reason whatsoever and The Golden Wheel network, its employees, consultants and other agents shall have no liability for such decisions.
Cancellation
You may cancel your participation in the The Golden Wheel network Bid For Position Ranking System by providing at least 14 days notice to The Golden Wheel network. Following such notice period, you will be entitled to receive a refund for all amounts not yet charged to your account. In all events, the initial free $20 bonus deposited by The Golden Wheel network into your bid account is nonrefundable. We may cancel your participation in the Bid For Position Ranking System at any time for any or no reason. The Golden Wheel network reserves the right to cancel the Bid For Position Ranking System at any time for any or no reason.

Inactivity :
A member who is NOT participating in our program for fourteen days will be considered an inactive member. The accounts of inactive members are cancelled on the 15th day of inactivity.
Search Rules and cheating :
Rude, Hateful or Threatening actions will result in forfeiture of your account referrals and earnings! With no compensation whatsoever!
There will be absolutely no selling of accounts for any reason. Any accounts that are found for sale. Or found to have been bought will be shut down without warning or compensation.
Anyone caught using any form of cheat software. Will immediately be removed from this program. This will result in forfeiture of your account referrals and earnings! With no compensation whatsoever!.
Any webmaster that cheats or scams their members may have their account frozen or closed. Funds from this account will then be used to pay the honest members.
If we have even the slightest suspicion that you are trying to cheat us in any way, your account will be terminated, without warning or compensation.
Anyone who is personally paying their downline members to click or to signup (aside from buying paid sign ups) is in violation if these terms and will receive one warning to stop. If you continue, your account will be deleted and you will lose all earnings and downline. The members are to be paid by the Golden Wheel network, not by the referrers. You lower the quality of the membership by doing this and it won't be tolerated.
You must keep your personal details up to date and it must be in English. This includes your correct address, payment option.
There is to be absolutely no use of anonymous proxys. Regardless of if it is you or your ISP, if you are caught trying to log in or click links using an anonymous proxy even just once your account will be deleted, and you will lose all of your earnings and downline. There will be no excuses accepted, and no warnings given. No compensation will be made.
Deleted accounts "DO NOT" get reactivated.
If you have to be away from your PC for an extended amount of time please let us know. Use the vacation manager, We are not responsible if you get deleted for failing to do. Regardless of your reasons.
Payments:
1)- Cash earnings will be paid on the following date :
whenever we reach 1,000 members
2) Members will have to request cash payments at the beginning of the mentionned month and their requests should reach the Golden Wheel network webmaster before the payment date mentionned the time zone used being GMT+1.
For example for a cash earnings payment on January 5th the request for cash earnings redemption should reach the webmaster on January 4th midnight GMT+1
- 3) Members can request a cash payment after they have been active members for a full 90 days. Those who have not been active members for 90 days at the payment date will have to wait for the following fixed date payment unless they are the winners of a random cash payment
- 4) Cash payments are made via Paypal, there is no other payment system offered for cash payment
- 5) Members must have clicked at least one link in the 7 day period preceding payment to receive a cash out. If a member do not comply with this requirement, we will skip to the next person in the payout list and pay them instead. If after 15 days you have not clicked a link your account will be deleted for inactivity and you will forfeit your earnings and referrals.
Other
This agreement is in accordance with the laws of the French Republic, and applicable international laws and jurisdiction and venue of all matters relating to this agreement shall be conducted exclusively in France, and you agree to the jurisdiction of such Courts. No waiver, modification or addition to this agreement shall be valid. This agreement constitutes the entire agreement between the parties relating to the participation in The Golden Wheel network's Bid For Position Ranking System. This agreement supersedes all prior and/contemporaneous agreements and Participant has relied upon no representations, oral or otherwise, not contained within this Agreement. The Golden Wheel network reserves the right to change the terms upon which it offers its Bid For Position Ranking System and may change this Agreement by posting such changes.
